Terms of Service — Wavefold Labs

These Terms of Service (the “Terms”) are an agreement between you and Wavefold Labs LLC (“Wavefold Labs,” “we,” “us,” or “our”). They govern our websites, accounts, services, downloads, and software (each a “Product”).

By creating an account, obtaining a Product from us, or using our services, you agree to these Terms. If acting for an organization, you represent that you can bind it. If you do not agree, do not use our Products or services.

Eligibility and Accounts

You must be at least 13 years old to create an account or use our online services. If you are between 13 and the age of legal majority where you live, your parent or legal guardian must review and agree to these Terms on your behalf.

You are responsible for the accuracy of your account information, for keeping your login credentials secure, and for activity under your account. Do not share your account. Tell us promptly if you believe it has been compromised.

Purchases

Product and checkout pages show prices, included formats, supported platforms, and system requirements. You authorize us and our payment providers to charge the displayed price and applicable taxes. A direct purchase grants a license, not ownership of the Product.

Contact us to request a refund. Except where law requires otherwise, refunds are at our reasonable discretion. A refund ends the related license, after which you must stop using and delete the Product. Products obtained through an app store or other marketplace are instead governed by that marketplace’s license, payment, and refund terms.

Software License

For a Product obtained directly from us, and subject to these Terms and any product-specific terms presented at purchase, we grant you a personal, non-exclusive, non-transferable, perpetual license to install and use the version provided to you. The license does not expire, but it may end under Termination below.

The license is for one person, not one computer. You may install the Product on any number of computers you own or control and keep reasonable backups, but only the licensed user may use it. Each additional user needs a license. An organization must assign each license to one user at a time and may reassign it after the prior user stops using and deletes the Product.

You may use the Product for personal or commercial creative work, including client work, live performance, and music or audio that you sell or distribute.

A perpetual license does not promise indefinite downloads, support, updates, or compatibility. Keep any installer you may need.

Ownership and Your Work

Your original music, recordings, projects, presets, and other work remain yours. You may commercialize them without paying us royalties or giving us credit.

We and our licensors retain ownership of the Products, services, documentation, trademarks, and related intellectual property. Included content identified for creative use may be incorporated into your work, but not distributed by itself unless product-specific terms allow it. You allow us to use feedback you send without restriction or payment.

License Restrictions

You may not:

Share the Product, your account, download links, or Product copies.
Sell, sublicense, rent, lend, redistribute, or publish the Product, except for permitted organization license reassignment.
Reverse engineer, decompile, disassemble, modify, translate, or make derivative works, except for supported user customization.
Bypass access controls, remove proprietary notices, break the law, infringe rights, or introduce malicious code.

These restrictions do not apply to the limited extent applicable law expressly permits an activity despite this agreement and does not allow that right to be waived.

Updates and Compatibility

Updates and fixes we release for your version of a Product are provided at no additional charge. Updates may change features. New major versions may be sold separately unless we say otherwise.

We do not guarantee future compatibility with operating systems, plugin hosts, hardware, or third-party software. Published system requirements show what we currently support.

Use of Our Website and Services

Do not disrupt, overload, probe, access without authorization, or use automation to unreasonably burden or bypass limits on our systems. We may suspend access to protect users, systems, rights, or legal obligations. We do not control third-party providers.

Termination

Your license ends if its purchase is refunded or if you materially breach these Terms and fail to cure a curable breach after notice. You must then stop using and delete the Product. We may suspend or terminate accounts for fraud, security risks, legal requirements, or serious or repeated violations.

Ownership, restrictions, disclaimers, liability limits, and other terms that should survive termination will do so.

Disclaimers

To the maximum extent permitted by law, the Products and services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

These exclusions may not apply where prohibited. Nothing here limits a warranty or consumer right that cannot lawfully be waived.

Limitation of Liability

To the maximum extent permitted by law, Wavefold Labs LLC and its owners, managers, officers, employees, contractors, and licensors (collectively, the “Wavefold Parties”) are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, or business interruption.

To the maximum extent permitted by law, the total aggregate liability of the Wavefold Parties for all claims arising from or related to a Product or our services will not exceed the greater of (a) the amount you paid us for the Product or service giving rise to the claim or (b) US $100.

These limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury, or liability that law does not allow us to limit.

Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms and effective date. We will give reasonable advance notice of material changes. Changes apply prospectively; the terms in effect when you obtained a direct Product continue to govern its perpetual license unless law requires a change or you agree to it.

General

These Terms and any product-specific purchase terms are the entire agreement for the Products and services they cover. If a provision is unenforceable, the rest remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms or a license without our consent. We may assign them in a merger, reorganization, acquisition, or asset sale.

California law governs, excluding its conflict-of-laws rules. Except where law allows or requires otherwise, disputes must be brought in the state or federal courts in Alameda County, California. Nothing here limits mandatory consumer rights or remedies where you live.
